Short Summary:
You will serve as the principal governance advisor and strategic partner to the Boards and Committees of our regulated subsidiary entities, responsible for maturing our subsidiary governance framework and ensuring operational resilience.
Responsibilities:
- Act as the primary governance advisor for multiple complex and regulated subsidiaries.
- Lead the end-to-end lifecycle of board and committee management, including agenda setting, reporting, and meeting minutes.
- Manage annual board calendars for timely approvals, compliance attestations, and statutory filings.
- Monitor legislative and regulatory changes, advising the Board and senior management.
- Build and maintain strong relationships with internal and external stakeholders.
- Drive the maturity of subsidiary governance through continuous process improvement.
- Deliver initiatives impacting the wider Group, such as corporate transactions and UK/US listing requirements.
- Contribute to a culture of mentorship and development across the global team.
Requirement:
- Qualified chartered secretary (ACG or FCG) or lawyer with 7+ years’ experience.
- Demonstrated ability to navigate complex regulatory frameworks and advise on key risks.
- Proven ability to manage multiple high-priority workstreams autonomously.
- Experience providing governance services for a subsidiary entity within a multinational group.
